Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Justera platform operated by CLARK MEDIA. By registering an account or using the platform, you agree to be bound by these Terms. Please read them carefully.

1. About the Service

  • Justera is a cloud-based SaaS platform for European transport dispute resolution, compliance management, and AI-powered legal document generation.
  • The platform is available exclusively to registered businesses (B2B service). It is not intended for consumers acting outside the scope of their professional or business activity.
  • The service covers road transport operations across European countries, including cross-border and domestic shipments.

2. Account Registration

  • You must provide accurate and complete company information during registration, including your legal entity name, registered address, VAT number, and contact details.
  • Only one account per legal entity is permitted. Multiple individuals within the same company may be invited as team members under the company's account.
  • The account administrator (Admin) is responsible for the actions of all team members added to the account, including operators, legal reviewers, and other authorised users.
  • You are responsible for maintaining the security of your account credentials, including your password and any two-factor authentication (2FA) methods. You must notify us immediately at legal@transportai.eu if you suspect unauthorised access.
  • CLARK MEDIA reserves the right to verify the accuracy of registration information and to reject or suspend accounts that provide false or misleading data.

3. Credit System & Payments

  • Access to platform features operates on a credit-based system. Each dispute case submission requires 5 credits.
  • Pricing is displayed in PLN for clients registered in Poland, and in EUR for all other EU clients.
  • Payments are processed securely via Stripe. Accepted methods include credit/debit cards and BLIK (for Polish clients).
  • Credits are non-refundable once used on a dispute case. Unused credits remain in your account balance indefinitely, subject to account closure provisions.
  • Invoices (faktury VAT) are generated automatically for each purchase in accordance with Polish law (Ustawa z dnia 11 marca 2004 r. o podatku od towarów i usług — Ustawa o VAT). Invoices are available for download from your account dashboard.

Refund requests for unused credits may be submitted within 14 days of purchase. Refunds are processed at CLARK MEDIA's discretion and are subject to the withdrawal provisions in Section 11.

4. Platform Features

The Justera platform provides the following core features:

  • Dispute case management: Submit, track, and manage transport-related disputes including damaged goods, lost shipments, delivery delays, compliance violations, and unpaid invoices.
  • Document generation: AI-powered generation of draft legal documents (pre-court notices, settlement proposals, lawsuit documentation). All generated documents are advisory in nature and do not constitute legal advice.
  • Mediation and negotiation tools: Invite counterparties to resolve disputes through the platform's built-in communication and settlement tools.
  • Lawyer marketplace: Connect with independent legal professionals through the platform. Lawyers listed on the marketplace are independent contractors and are not employees, agents, or representatives of CLARK MEDIA. CLARK MEDIA does not guarantee the quality, accuracy, or outcome of any legal services provided by marketplace lawyers.

5. AI-Generated Content Disclaimer

Important Disclaimer

All documents and recommendations generated by the Justera platform are produced using artificial intelligence and automated systems. They require careful review before use.

  • All AI-generated documents are drafts and must be reviewed, verified, and approved by the user before being sent, submitted, or relied upon in any legal proceeding.
  • AI-generated content is not a substitute for professional legal advice. Users are strongly encouraged to consult a qualified legal professional before acting on any generated document.
  • CLARK MEDIA is not liable for any outcomes, losses, damages, or legal consequences arising from the use of AI-generated documents, recommendations, or risk assessments.
  • Users are solely responsible for verifying the accuracy, completeness, and legal suitability of all generated content before use.
  • AI outputs may contain errors, outdated legal references, or incomplete analysis. The platform is a tool to assist — not to replace — professional judgment.

6. User Obligations

By using the platform, you agree to:

  • Provide truthful, accurate, and complete information in all dispute submissions, account details, and communications.
  • Upload only genuine, authentic documents. Uploading forged, altered, or fraudulent documents is strictly prohibited and may result in immediate account termination and legal action.
  • Not misuse the platform for fraudulent purposes, including but not limited to filing false claims, impersonating other parties, or attempting to manipulate dispute outcomes.
  • Comply with all applicable transport regulations, national laws, EU regulations, and the CMR Convention in your use of the platform.
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the platform.
  • Not use automated scripts, bots, or other tools to access the platform in a manner that could impair its performance or availability.

7. Intellectual Property

  • The Justera platform, including its software, design, user interface, algorithms, AI models, documentation, and all associated intellectual property, is owned by CLARK MEDIA and protected by Polish and EU intellectual property laws.
  • You retain full ownership of all documents, files, and data you upload to the platform. By uploading content, you grant CLARK MEDIA a limited, non-exclusive license to process and store such content solely for the purpose of providing the services.
  • AI-generated documents produced by the platform are licensed to you for your internal business use. You may use, modify, and distribute generated documents in connection with the dispute they were created for.
  • You may not redistribute, resell, or sublicense the platform or its generated outputs as a standalone service or product.

8. Liability Limitations

  • The platform is provided "as is" and "as available" for business-to-business (B2B) use. CLARK MEDIA makes no warranties, express or implied, regarding the platform's fitness for a particular purpose, accuracy of AI outputs, or uninterrupted availability.
  • CLARK MEDIA is not responsible for legal outcomes resulting from the use of the platform, including but not limited to court decisions, settlement results, regulatory penalties, or financial losses.
  • The maximum aggregate liability of CLARK MEDIA for any claims arising from or related to the use of the platform shall not exceed the total fees paid by you to CLARK MEDIA in the 12 months preceding the event giving rise to the claim.
  • Force majeure: CLARK MEDIA shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

9. Data Protection

CLARK MEDIA is committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable national data protection laws.

  • Full details on how we collect, process, store, and protect your data are set out in our Privacy Policy.
  • All data is processed and stored within the EU/EEA on GDPR-compliant infrastructure.
  • We maintain Data Processing Agreements (DPAs) with all third-party service providers who process personal data on our behalf.
  • You may exercise your data protection rights at any time by contacting privacy@transportai.eu.

10. Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of Poland for clients with a registered office in Poland.
  • Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Toruń, Poland.
  • For EU clients established outside of Poland, jurisdiction may also be determined under Regulation (EU) No 1215/2012 (Brussels I Regulation, recast) regarding jurisdiction and the recognition and enforcement of judgments in civil and commercial matters.
  • Before initiating formal legal proceedings, the parties agree to attempt amicable resolution through direct negotiation for a period of at least 30 days from the date of written notice of the dispute.

11. Consumer Protection (UOKiK Compliance)

While Justera is a B2B service, certain consumer protection provisions may apply under Polish law:

  • Under Art. 3855 of the Polish Civil Code (Kodeks Cywilny), sole proprietors (osoby fizyczne prowadzące działalność gospodarczą) may be entitled to consumer-equivalent protections when the contract is not directly related to their core business activity, as determined by their PKD/CEIDG registration.
  • Where applicable, such sole proprietors benefit from 14-day withdrawal right for distance contracts (umowa zawarta na odległość) pursuant to Ustawa z dnia 30 maja 2014 r. o prawach konsumenta. The withdrawal period begins from the date of contract conclusion (account registration).
  • Complaint procedure: Complaints regarding the platform's services may be submitted by email to legal@transportai.eu. We will acknowledge receipt within 3 business days and provide a substantive response within 14 days of receipt.
  • Consumers and eligible sole proprietors may also seek resolution through the UOKiK (Urząd Ochrony Konkurencji i Konsumentów) or the European Online Dispute Resolution platform at ec.europa.eu/odr.

12. Termination

  • You may close your account at any time through your account settings or by contacting legal@transportai.eu. Upon closure, your access to the platform will be revoked immediately.
  • CLARK MEDIA may suspend or terminate your account for violation of these Terms, including but not limited to: uploading fraudulent documents, misuse of the platform, non-payment, or provision of false registration information. We will provide written notice of termination with reasons.
  • Upon account termination, your data will be retained in accordance with our Privacy Policy data retention schedule. Dispute data is retained for 6 years after case closure; account data is deleted 30 days after account closure.
  • Unused credits at the time of account closure initiated by you are non-refundable unless otherwise required by applicable law.
  • Sections that by their nature should survive termination (including Liability Limitations, Intellectual Property, Dispute Resolution, and Data Protection) shall remain in effect after termination.

13. Changes to Terms

  • CLARK MEDIA reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the account administrator and via a prominent notice on the platform dashboard.
  • The updated Terms will include a new effective date at the top of this document.
  • Continued use of the platform after the effective date of amended Terms constitutes acceptance of the changes. If you do not agree with the modified Terms, you may terminate your account before the effective date.
  • Non-material changes (such as formatting, clarifications, or corrections that do not affect your rights or obligations) may be made without prior notice.
